Think on Services provides clients with "Big Law" legal services at an affordable price by understanding their objectives and avoid unnecessary time and expense on issues that don't matter to the client.
Think on Services has extensive financing experience representing borrowers and lenders in a wide range of financing transactions, including secured and unsecured financings, working capital financing, cash-flow based lending, asset based lending (ABLs), acquisition financing, project financing, fund financing, venture capital financing, convertible notes, mezzanine financing, revolving credit agreements, term loans, promissory notes, equipment leases, corporate and personal guarantees, letters of credit, surety bonds, forbearances, restructurings, and payoff letters.
We regularly advise on debt related matters such as on-going compliance, due diligence review, lien searches, lien filings and terminations (UCC statements), and deposit account control agreements (DACAs).
We assist at any stage from reviewing and drafting term sheets to negotiating credit agreements and security agreements to work outs.
Our target is lower-middle market transactions for both lenders and borrowers. For borrowers, we often partner with other law firms to provide debt financing services to their clients. The partner law firm retains the client while utilizing our expertise that the partner law firm lacks. This creates a win-win-win situation for the client, the partner law firm, and us.
Think on Services provides general corporate counsel on a fractional basis to companies too small to need a full-time legal department and are left with the options of turning to costly outside counsel to help with one-off needs or foregoing legal advice all together.
Our services provide an alternative. As a fractional general counsel, each engagement is tailored to a client's specific project or for a set time commitment. Clients benefit from our familiarty with them. We provide dedicated legal services based on the company’s needs without the overhead of a full-time person or turning to outside counsel for basic needs.
These services include NDAs, vendor agreements, commercial agreements, incentive equity, corporate governance, and general compliance issues.
